Terms of Service

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you personally and that organization.

You may not use the Service if you are barred from doing so under the laws of the State of Israel or any other applicable jurisdiction.

WampUp provides a software platform that automates conversations between WhatsApp accounts in order to build the reputation ("warming") of those accounts before they are used for outbound messaging at scale. The Service includes account management, automated messaging, scoring, analytics, proxy infrastructure, and related features.

WampUp is an independent service. WampUp is NOT affiliated with, endorsed by, sponsored by, partnered with, or in any way officially connected to WhatsApp Inc., Meta Platforms Inc., or any of their subsidiaries or affiliates. The names "WhatsApp" and "Meta" are used solely for descriptive purposes and remain the property of their respective owners.

IMPORTANT — PLEASE READ CAREFULLY. WampUp connects to WhatsApp through a third-party, unofficial gateway. WampUp does not use the official WhatsApp Business API and is not authorized by WhatsApp Inc. or Meta Platforms Inc. to access WhatsApp services on your behalf.

You acknowledge and agree that using the Service may violate the WhatsApp Terms of Service, the WhatsApp Business Terms, or other policies set by Meta. WhatsApp and Meta may, at any time and without notice, take enforcement actions including but not limited to: rate-limiting your number, restricting features, blocking specific messages, suspending your account, permanently banning your number, blocking the IP addresses or proxies used by the Service, or terminating any related Meta account.

YOU ASSUME ALL RISK arising from your use of the Service. WampUp expressly disclaims any and all liability for: (a) account suspensions, terminations, bans, or other enforcement actions taken by WhatsApp, Meta, or any of their affiliates against any number or account you connect to the Service; (b) loss of access to messages, contacts, or any data stored within WhatsApp; (c) failure of messages to be delivered or received; (d) reputational harm or damage to relationships with your customers, recipients, or third parties; (e) loss of revenue, profit, or business opportunities resulting from any of the foregoing.

You are solely responsible for ensuring that your use of the Service complies with all applicable laws and with the policies of WhatsApp, Meta, and any other third party whose services you interact with through the Service.

When you register, you must provide accurate, current, and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account, whether or not authorized by you.

You must notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss arising from your failure to comply with this section.

You may not share your account, sell access to it, or allow others to use it on your behalf except as expressly permitted by us in writing.

You agree NOT to use the Service to: (a) send spam, unsolicited bulk messages, phishing messages, scams, or fraudulent communications; (b) impersonate any person or entity or misrepresent your affiliation with any person or entity; (c) harass, threaten, defame, or abuse any person; (d) transmit content that is illegal, obscene, or that infringes the intellectual property, privacy, or other rights of any third party; (e) attempt to reverse engineer, decompile, scrape, or otherwise extract the source code or non-public components of the Service; (f) interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure; (g) circumvent rate limits, authentication, or any other technical restriction of the Service; (h) use the Service in any manner that could damage, disable, overburden, or impair WampUp or any third party.

You are solely responsible for the content of all messages sent through your account, whether composed by you or generated by the Service's AI features.

Access to the Service is provided on a paid subscription basis. The current price, billing cycle, and any included credits, trial period, or per-connection charges are displayed in the Service before you subscribe.

All payments for the Service are processed by Affiloop (https://affiloop.io), which acts as the merchant of record. Charges on your payment method or statement may appear under the Affiloop name.

Fees are billed in advance on a recurring basis and are non-refundable except as expressly stated in our Refund Policy. Per-connection charges may be prorated when you add or remove connections during a billing period.

Because WampUp is operated by an Israeli Authorized Dealer (Osek Patur), prices do not include VAT and no VAT is collected. You are responsible for any other taxes, duties, or governmental charges that may apply to your use of the Service.

If a payment fails, we may suspend the Service, retry the charge, and ultimately terminate your account. You authorize us to charge the payment method on file for all fees due.

You may cancel your subscription at any time from the billing area of the Service. Cancellation takes effect at the end of the current billing period; you retain access to the Service until that period ends and are not charged for subsequent periods.

No refunds are issued for the unused portion of any billing period, except as required by applicable law or as expressly stated in our Refund Policy.

The Service, including all software, designs, text, graphics, and trademarks (other than third-party marks), is the exclusive property of WampUp and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of the content you submit to the Service, including the messages, recipient lists, and other data you upload or create through the Service ("User Content"). By using the Service, you grant WampUp a worldwide, non-exclusive, royalty-free license to host, store, transmit, and process your User Content solely as necessary to provide and improve the Service.

If you choose to send WampUp feedback, suggestions, or ideas, you grant WampUp a non-exclusive, royalty-free license to use them to improve the Service. You retain ownership of your feedback and may use it however you wish.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WampUp does not warrant that the Service will be uninterrupted, secure, error-free, or that messages will be delivered, that warming will avoid bans, that scoring metrics are accurate, or that any specific outcome will be achieved.

The Service depends on third-party APIs, infrastructure, and gateways (including but not limited to the unofficial WhatsApp gateway, proxy networks, cloud hosting providers, and third-party AI providers). These third parties may modify, deprecate, restrict, throttle, or discontinue their services at any time without notice. WampUp has no control over such third parties and is not responsible for their actions or omissions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WAMPUP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WAMPUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WAMPUP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE LOWER OF: (A) THE FEES YOU ACTUALLY PAID TO WAMPUP IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND ISRAELI SHEKELS (₪1,000).

WITHOUT LIMITING THE FOREGOING, WAMPUP HAS NO LIABILITY FOR: ACCOUNT BANS, RESTRICTIONS, OR OTHER ENFORCEMENT ACTIONS BY WHATSAPP, META, OR ANY OTHER THIRD PARTY; OUTAGES OR DEGRADATIONS OF THIRD-PARTY SERVICES; CLAIMS BROUGHT AGAINST YOU BY YOUR CUSTOMERS, MESSAGE RECIPIENTS, OR ANY OTHER THIRD PARTY ARISING FROM YOUR USE OF THE SERVICE.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. To the extent such exclusions or limitations are not enforceable in your jurisdiction, the foregoing limitations apply to the maximum extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless WampUp, its operator, affiliates, officers, employees, contractors, and agents from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation, including any communications, marketing, or data-protection law; (d) your violation of the rights of any third party, including WhatsApp, Meta, your message recipients, or your own customers; (e) any content sent through your account.

We may modify these Terms from time to time. Where the change is material, we will notify you by email or through the Service before the change takes effect. Your continued use of the Service after the effective date of the change constitutes your acceptance of the revised Terms.

We may also modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to: breach of these Terms, non-payment, abuse of the Service, suspected fraud, or compliance with legal process or regulatory requirement.

If we terminate your account for cause, no refund is owed and any unpaid fees become immediately due.

Upon termination, your right to use the Service ends, and we may delete your data subject to our retention obligations described in the Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv-Yafo, Israel will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. You and WampUp irrevocably submit to the personal jurisdiction of those courts.

Notwithstanding the foregoing, WampUp may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or to collect overdue fees.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and WampUp regarding the Service and supersede any prior agreements.

No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure. WampUp is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, internet outages, third-party service failures, or pandemics.
